Terms of Service

1. Introduction
Welcome to Appointly. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Appointly ("we," "us," or "our"), operating as Appointly.
By accessing or using our website and our related mobile applications and services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. Our Service and Role
Appointly is an appointment management platform that connects Service Providers (businesses or individuals offering services) with Clients (individuals seeking services).
Important: Appointly acts solely as a technical intermediary. We do not provide the services offered by Service Providers. We are not a party to any agreement entered into between a Service Provider and a Client. The Service Provider is solely responsible for the quality, safety, and legality of the services they provide.
3. Account Registration
To use certain features of the Services, you must register for an account.
- Eligibility: You must be at least 18 years old to use our Services.
- Accuracy: You agree to provide accurate, current, and complete information during the registration process.
- Security: You are responsible for safeguarding your password. You agree to notify us immediately of any unauthorized use of your account.
4. Payments, Fees, and Deposits
Appointly integrates with Stripe to facilitate secure payments, including deposit payments to reduce no-show rates.
A. Payment Processing
Payment processing services are provided by Stripe and are subject to the Stripe Connected Account Agreement. By using Appointly to receive or make payments, you agree to be bound by Stripe’s Services Agreement.
B. Appointly Service Fees (Commission Structure)
We charge a service fee based on the Service Provider's account status. This fee is collected whenever the deposit transaction is successfully processed, which occurs upon appointment completion or deposit retention.

When Fees Are Earned: Appointly's service fee is earned and collected when a booking facilitated by our platform is successfully completed or when a deposit is retained by the Service Provider as compensation for a late cancellation or no-show.
Fee Waiver: In all instances where the Client receives a full deposit refund (as defined in Section 4.C below), Appointly waives its service fee, and no fees are collected.
C. Deposits and Cancellation Policy
- Deposits: Service Providers may require a deposit to confirm an appointment. Clients agree that this deposit creates a financial commitment.
- Cancellation Window: Service Providers determine and enforce their own cancellation policies and windows. The Service Provider’s stated policy on their booking page dictates the outcome of the deposit.

Discretionary Refunds: Service Providers have the option to issue a full refund of a forfeited deposit to a Client at any time after the appointment, at the Provider's sole discretion.
5. User Conduct
You agree not to use the Services to:
- Violate any applicable laws or regulations.
- Infringe the rights of any third party, including intellectual property or privacy rights.
- Transmit any viruses, malware, or other malicious code.
- Harass, abuse, or harm another person.
- Attempt to reverse engineer or compromise the security of the Appointly platform.
6. Content and Intellectual Property
- Your Content (User Content): You retain ownership of any data, text, or images you upload to Appointly ("User Content"). By uploading content (including service photos or profile images), you grant us a worldwide, royalty-free, perpetual, and non-exclusive license to use, display, and perform such content solely as necessary to operate and promote the Service.
- Our IP: All rights, title, and interest in and to the Appointly platform (excluding User Content), including our logo, code, and design, are and will remain the exclusive property of Appointly.
7. Limitation of Liability
Please read this section carefully.
To the maximum extent permitted by law:
- Appointly provides the Services on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Services will be uninterrupted or error-free.
- We are not liable for the acts, errors, omissions, representations, warranties, breaches, or negligence of any Service Providers or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom.
- In no event shall Appointly be liable for any indirect, punitive, incidental, special, or consequential damages arising out of your use of the Services.
- Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or for fraud or fraudulent misrepresentation.
8. Termination
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
